The disclaimer and limited liability of Seventymm^® as set out in this Agreement are fundamental elements of the basis of the bargain for the Content and access to the Site. You agree that Seventymm^® would not otherwise be able to offer the Content or the Site on its present basis without such limitations. This clause shall survive any termination of this Agreement.

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the country in which you reside.

Any provision of this Agreement which is invalid, prohibited or unenforceable in any jurisdiction shall: (i) be ineffective in that jurisdiction to the extent of the invalidity, prohibition or unenforceability; (ii) not invalidate the remaining provisions of this Agreement; and (iii) not affect the validity of that provision in any other jurisdiction.

All legal proceedings shall be subject to the jurisdiction of the courts in Bangalore, India and shall be governed by and construed in accordance with the laws of India and you agree to resolve the disputes under the Arbitration and Conciliation Act 1996. The venue for such arbitration shall be at Bangalore, India.

This Agreement or your use of this Site does not constitute any joint venture, partnership, employment or agency relationship between you and Seventymm^®

No Due Dates or Late Fees
Provided you continue to be a paying subscriber of our service, you may keep the DVDs/ VCDs delivered to you as long as you like. You will be required to return the movies within 7 days following any cancellation of the service or be subject to charge for unreturned DVDs/ VCDs. Also, you may be charged for movies that you lose/damage. In the event that the number of lost/damaged DVDs/ VCDs on your account becomes excessive, as we may determine in our sole and absolute discretion, we will notify you that your account has been placed on hold for review and may charge you for the estimated cost of the lost/damaged DVD/ VCD(s). We will alert you of any potential charges prior to charging your Payment Method.

Your Wishlist
Movies that you select to rent will be placed into your own rental Wishlist. You may add movies or adjust the Wishlist at any time. You must have at least 10 movies in your Wishlist. Click the "Wishlist" tab to make adjustments, review requested movies or to see which movies you currently have out. We will determine which movies to send you based on the movies in your Wishlist and the priority in which you have listed them. We endeavour to ship to you the movies listed highest in your Wishlist; however when availability is limited, we may ship you movies lower on your Wishlist. Adjustments made to your Wishlist may not immediately impact your next shipment. In certain instances you may have adjusted your Wishlist before you have received a shipment message when in fact a shipment was already processed. The adjustments will, however, impact subsequent shipments.

Allocation, Delivery and Return of Rented DVD/VCDs
We reserve the right to allocate and ship DVDs/ VCDs among our subscribers in any manner that we, in our sole and absolute discretion, determine. In addition, we will, in our sole and absolute discretion, determine the quantity of DVDs/ VCDs we purchase for any particular title and the level of staffing and number of shipments to be processed at each distribution centre. As a result, we may not always send you the top choices from your Wishlist, and we may not ship out your next DVDs/ VCDs on the same day that we receive one from you. At present, our goal is to ship you the DVDs/ VCDs listed highest in your Wishlist. Also, we currently try to ship you DVDs/ VCDs from the distribution centre closest to you so that you get movies quickly. Often, on the same day that we receive a DVD/ VCD from you, we will ship the next available DVD/ VCD from your Wishlist. In certain instances, your next available DVD/ VCD will not ship until at least one business day following our receipt of your returned movie.

Other factors that may affect delivery times, include, but are not limited to, (i) the distance between the distribution centre from which your DVD/ VCD was shipped and your delivery address, (ii) the timing of your placement or adjustment of movies in your Wishlist.

We ship movies 8 am to 10 pm, 7 days a week, Monday through Sunday (except public holidays). We make no guarantee as to the shipping and delivery of DVDs/ VCDs and may in our sole and absolute discretion, change our business practice regarding allocation, delivery and shipping, without notice. We may from time to time revise these Terms of Use but we will not necessarily provide you notice of the revisions. It is up to you to review the Terms of Use frequently to determine if there have been changes.

We will send you an email letting you know when we have received a returned movie, and we will also send you another email letting you know when we have shipped your next DVD/ VCD, including the anticipated time of delivery.

Seventymm^® reserves the right to request return of any and all DVDs and/or VCDs in the possession of Members at any time. Members understand and agree to promptly return any DVDs and/or VCDs to Seventymm^® upon request, and that failure to do so within five (5) days of the request makes Members liable for the cost of those DVDs and or VCDs plus 50% of that cost as a handling charge, for which Seventymm^® reserves the right to charge the Member's refundable security deposit.

Billing
By using the Seventymm^® service, you are expressly agreeing that we are permitted to bill you a monthly subscription fee, any applicable tax and any other charges you may incur in connection with your use of the Seventymm^® service. Additional charges may include movies you fail to return, or a billing plan change you request. As used in these Terms of Use, "billing" shall indicate either a charge or debit, as applicable, against your Payment Method, including a checking account, where applicable. The subscription fee will be billed at the beginning of your subscription and on each monthly renewal thereafter unless and until you cancel your membership. Click the "View Membership Terms" link on the "Your Account" page to see the commencement date for your next renewal period. We will automatically bill your Payment Method each month on the calendar day corresponding to the commencement of your membership. In the event your membership began on a day not contained in a given month, we will bill your Payment Method on the last day of such month. For example, if you became a paying member on January 31st, your Payment Method would next be billed on February 28th. All fees and charges are non-refundable and there are no refunds or credits for partially used periods. We may change the fees and charges in effect, or add new fees and charges from time to time, but we will give you advance notice of these changes by email. If you want to use a different Payment Method or if there is a change in your credit card validity or expiration date, you may edit your Payment Method information by clicking on the "Your Account" button, available at the top of the pages of the Seventymm^® Website. If your Payment Method reaches its expiration date, your continued use of the service constitutes your authorisation for us to continue billing that Payment Method and you remain responsible for any uncollected amounts.

In case the bills are not paid as on the due date, your account will be suspended and you will not receive any further movies, till such time the payment is made and your account is regularized. In case of your account suspension, you will have to return the movies lying with you within 7 days.

Chequebounce
In the event of Chequebounce of your membership payment, you will be liable to pay the chequebounce fee to Seventymm^® Services Private Limited.

Automatic Renewals
Your Seventymm^® subscription will be automatically renewed on a monthly basis. We will bill the monthly subscription fee plus any applicable tax to the Payment Method you provide to us during registration (or to a different Payment Method if you change your account information). Your membership will automatically renew for successive monthly subscriptions, without prior notice to you, unless and until you cancel your membership or we terminate it. You must cancel your membership before it renews each month in order to avoid billing of the next month's subscription fees to your Payment Method.

Damaged Discs
All discs sent to you have been checked to be in a working condition prior to dispatch. Upon receipt of the discs, you must ensure that the same is playable on your respective player. Any anomaly, if found, must be reported to our courier executive. Failure to check and/or report the same will be constituted as your having received a playable disc. At the time of pick-up, our courier executive will check for any scratches or damage to the disc and will intimate you accordingly. Upon receipt of the disc, we will verify the same.

In the event of a disc being damaged, we will email you and intimate you about the same. The determination of a disc being “damaged” will be at the sole discretion of Seventymm^®. Accordingly, we will charge you Rs 300 per VCD title (which includes even 1 damaged disc from a set of 2 or 3 discs) and Rs 1000 per DVD title. All such damage charges will be chargeable against your refundable security deposit. A top-up of the refundable security deposit will be required by the due date of the next billing cycle failing which your membership will be suspended.

Refund of Security Deposit
In the event that your membership is cancelled, we will refund your security deposit after ensuring all outstanding charges applicable have been recovered.. We issue a bank cheque in the name of the member as appears at the time of registration within fifteen working days. The cheque will be couriered to the billing address as provided at the time of registration or as last appended prior to the commencement of your last billing cycle.Once movies are delivered, if they are not returned within a period of 45 days, the deposit would be forfeited.

Cancellation
You may cancel your subscription to Seventymm^® at any time, and cancellation will be effective immediately. WE DO NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIAL-MONTH SUBSCRIPTION PERIODS OR UNWATCHED MOVIES. To cancel, click the word "Cancel" on the "Your Account" page and follow the instructions for cancellation under the heading "Cancel Membership". Upon cancellation, you will be given seven (7) days to return any outstanding rentals. Failure to return such rentals will result in your Payment Method being billed for such items.

Seventymm^® reserves the right to suspend / cancel your membership without prior notice and without assigning any reasons.

I have already subscribed to the 6 / 12 month plan? Can I apply again?
No. Members who have already paid for the 6 / 12 month plan cannot change to the current 6 / 12 month plan.

What if I want to upgrade for some months during the period?
Upgrading from basic to unlimited is very simple. All you have to do is calculate the fee at printed rate and pay the balance. For e.g. if you’re on the 6-month package for the Basic Plan and want to shift to the Unlimited Plan in the middle of 3 months, you have to just pay the difference amount. Please contact our customer care office for more details on payment.

Please note: The credit period for each plan will be applicable at the beginning of the billing month/months after subscribing to the plans.

What if I want to downgrade my plan for some months during the period?
You can do so for which the plan will be charged at a pro-rata basis.

What if I want to cancel during the period?
Cancellation is possible at any time. However, we will not be able to refund the money paid for the package. What you do get back is the refundable security deposit and balance earned through referrals (only if applicable). The balance amount doesn’t include the membership fees paid in advance.

If I am an existing member, can I upgrade to the package deal?
Yes you can. All you have to do is pay the 6-month package or the 12-package fees you want to subscribe to. Since you have paid the registration fee and security deposit earlier, you don’t have to pay anything for that.

I have been given a promotional offer? Can I also opt of the 6 / 12 month package?
Yes you can. However, the package will be applicable only after the promotional period is over. Please contact our customer care office in your city for payment terms and more details.

In order to provide you with ease of access to your account, Seventymm^® will place a cookie (a small text file) on any computer from which you access the Seventymm^® Website. When you revisit the Seventymm^® Website, this cookie will enable us to recognize you as the account holder and provide you with direct access to your account without requiring you to retype any password or other user identification. You are responsible for updating and maintaining the truth and accuracy of the information you provide to us relating to your account.

You are also responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You may choose to share your account with other people by providing them your password. However, if you decide to share your account with other people, you take full responsibility for their actions. Users of public or shared computers should log out at the completion of each visit to the Seventymm^® Website.

If you find that you're a victim of identity theft and it involves a Seventymm^® account, you should notify customer service. Then, you should report this instance to all your credit card issuers, as well as your local law enforcement agency. Seventymm^® reserves the right to place any account on hold anytime with or without notification to the subscriber in order to protect itself and its partners from what it believes to be fraudulent activity. Seventymm^® is not obligated to credit or discount a membership for holds placed on the account by either a representative of Seventymm^® or by the automated processes of Seventymm^®.

(iv) Information reasonably sufficient to permit us to contact you, such as your address, telephone number, and, if available, your e-mail address;
(v) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
(vi) A statement that the above information is accurate, and under penalty of perjury, that you are, or are authorized to act on behalf of, the owner of the copyright that is allegedly infringed.

• Movie must be ordered from website, sms or IVR.
• Orders before 11 am will be dispatched on the same day within the city limits.
• Orders after 11 am will be dispatched on the next business day.
• Movies are dispatched only from Tuesday to Sunday within Seventymm serviceable limits.
• We cannot guarantee the exact time of delivery.
• If movie is not delivered or quality of movie delivered is bad or the wrong movie was delivered, we will add 1 shipment credit and extend the subscription period by one day.
• We will attempt to deliver the movie 2 times. If for any reason, the movie is not delivered in 2 attempts, movie order will be cancelled.
• Customer will need to order the movie again for re-attempt.

• This offer is valid till March 31st 2010.
• This offer is valid on all plans except one month subscription plans.
• If you are not satisfied, just write to us (support@seventymm.com) within 15 days of date of activation and get your money back.
• Money back cannot be availed after the expiry of 15 days Trial Period.
• A processing fee of Rs. 50 would be deducted from the money back amount.
• Money back would be processed within 7 days of request subject to no movie pending with the customer.
• If movie is pending with customer we will make one visit to customer residence address within 3 days of Money back request to pick up the movie.
• If not picked up customer must drop the movie at Seventymm office within 14 days of Money back request to process the Money back.
• If movie is not returned to Seventymm office within 14 days of Money back request, it will be assumed that no request was made for refund of money back.
• Money back will be processed through reversal of online transactions. In case of cash/Cheque transactions, the money back will be processed only through Cheque.
• Cheque will only be prepared in the name of the member specified in the Seventymm account and only be sent to the residence address specified in the Seventymm account.
